What is a partnership agreement? . . .

A partnership agreement is a contract between owners of a business in a partnership arrangement, that sets out the terms and conditions of the relationship between the partners. This may include percentages of ownership, distribution of profits and losses, description of management powers and duties of each partner.

Does a partnership have to be registered? . . .

There is no legal requirement to register a general partnership (unlike a company, which must be formally registered with ASIC). The partnership will require its own Australian Business Number (ABN). A business name does not need to be registered if the business uses the actual names of the partners.

Why do I need a partnership agreement? . . .

If you intend to carry on business as a partnership, it is highly advisable to have a partnership agreement in place. While there is no formal or legal requirement to have one, it helps to set out the rights and responsibilities of the partners and without one, any partner can immediately terminate the partnership at will or by their death. Even the shortest partnerships should be conducted by a partnership agreement to protect the interests of the business and of all the partners.

How much does it cost to form a partnership? . . .

One of the benefits of a partnership is the low establishment costs it attracts. There are no formal registration fees and the name of the business does need to be registered if the partners names are used. There are no other fees, other than obtaining an ABN and perhaps the costs involved with drafting the partnership agreement. Does a partnership have to pay GST? . . .

If the business earns more than $75,000 gross per year, then the business must pay GST. A partnership will also require its own TFN (tax file number) and each partner should also have their own TFN.
